1. Acceptance of Terms

By accessing or using Zoroo ("the Platform"), operated by Orhan Technology, registered in Afghanistan, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our services. These terms apply to all users, including individuals, businesses, and organizations using our business management software for sales, inventory, accounting, HR, and related functions.

2. Description of Services

Zoroo provides a comprehensive business management platform including:

(a) Sales Management: Order creation, tracking, invoicing, and customer analytics;

(b) Purchase Management: Procurement, supplier management, and cost tracking;

(c) Inventory Management: Stock tracking, warehouse management, and automated alerts;

(d) Accounting & Finance: Transaction management, financial reporting, and tax compliance tools;

(e) Employee Management: HR records, attendance, payroll, and performance tracking;

(f) Contact Management: Customer and supplier relationship management. We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice.

3. User Accounts and Responsibilities

To use our services, you must:

(a) Provide accurate, current, and complete registration information;

(b) Maintain the security of your account credentials and not share them with unauthorized parties;

(c) Accept responsibility for all activities under your account;

(d) Notify us immediately of any unauthorized access or security breach;

(e) Be at least 18 years of age or the legal age of majority in your jurisdiction;

(f) Use the platform only for lawful business purposes in compliance with Afghan law and applicable international regulations. You are responsible for ensuring all users you authorize comply with these terms.

4. Subscription and Payment Terms

Our services are offered under various subscription plans:

(a) Free Trial: 14-day trial with full access to features, no credit card required;

(b) Payment: Payments are processed securely and are due at the beginning of each billing cycle;

(c) Plan Changes: You may upgrade or downgrade your plan at any time, with changes taking effect in the next billing cycle;

(d) Cancellation: You may cancel your subscription at any time; access continues until the end of the current billing period. Prices are listed in USD and AFN, and we reserve the right to modify pricing with 30 days notice.

5. Data Ownership and Intellectual Property

Your Data: You retain full ownership of all business data, records, and content you enter into the Platform. We do not claim ownership of your data and will not use it for any purpose other than providing our services to you. Our Property: The Platform, including its design, features, code, trademarks, and documentation, is owned by Orhan Technology and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform during your subscription period. You may not copy, modify, distribute, sell, or reverse engineer any part of our Platform without explicit written permission.

6. Acceptable Use Policy

You agree not to:

(a) Use the Platform for any illegal or unauthorized purpose;

(b) Violate any laws, regulations, or third-party rights;

(c) Upload viruses, malware, or any harmful code;

(d) Attempt to gain unauthorized access to our systems or other users' accounts;

(e) Interfere with or disrupt the Platform's operation or servers;

(f) Use the Platform to store or transmit content that is defamatory, fraudulent, or violates privacy rights;

(g) Resell or redistribute access to the Platform without authorization;

(h) Use automated systems (bots, scrapers) to access the Platform without permission. Violation of these terms may result in immediate account suspension or termination.

7. Service Availability and Support

We strive to maintain 99.9% uptime for our Platform. However:

(a) We may perform scheduled maintenance with advance notice;

(b) Unscheduled downtime may occur due to circumstances beyond our control;

(c) We are not liable for any losses resulting from service interruptions. Support: We provide customer support via email (info@orhan.af) and phone (+93 70 000 0503) during business hours (Saturday-Thursday, 9:00 AM - 5:00 PM Afghanistan Time). Enterprise plan customers receive priority support with dedicated account managers.

8. Limitation of Liability

To the maximum extent permitted by law:

(a) Zoroo and Orhan Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities;

(b) Our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid for the service in the 12 months preceding the claim;

(c) We are not responsible for decisions made based on data or reports generated by the Platform;

(d) We are not liable for losses caused by factors outside our control, including internet connectivity issues, third-party service failures, or force majeure events.

9. Indemnification

You agree to indemnify, defend, and hold harmless Orhan Technology, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

(a) Your use of the Platform;

(b) Your violation of these Terms;

(c) Your violation of any third-party rights;

(d) Any content or data you submit to the Platform.

10. Termination

Either party may terminate this agreement:

(a) You may close your account at any time through account settings or by contacting us;

(b) We may suspend or terminate your account for violation of these Terms with or without notice;

(c) Upon termination, your right to use the Platform ceases immediately;

(d) You may request export of your data within 30 days of termination;

(e) We may retain certain data as required by law or for legitimate business purposes. Sections regarding intellectual property, limitation of liability, and indemnification survive termination.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Islamic Republic of Afghanistan. Any disputes arising from these Terms or your use of the Platform shall be resolved through:

(a) Good faith negotiations between the parties;

(b) If negotiations fail, mediation in Kabul, Afghanistan;

(c) If mediation fails, binding arbitration under Afghan arbitration laws. You agree to waive any right to participate in class action lawsuits against us.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

(a) Posting the updated Terms on our Platform;

(b) Sending an email notification to registered users;

(c) Displaying a notice when you log in. Continued use of the Platform after changes become effective constitutes acceptance of the new Terms. If you do not agree with updated Terms, you must stop using the Platform and close your account.
